Terms of Service

1. Acceptance of Terms

By accessing or using the VendyPal platform, our native mobile applications, or any associated APIs (collectively, the “Service”), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, fleet operator, or other legal entity, you represent that you have the authority to bind such entity.

2. Description of Service

VendyPal provides cloud-based software for managing unattended retail and vending machine operations, including telemetry ingestion (EVA-DTS, MDB), dynamic warehouse pre-kitting, driver route dispatch, planogram management, and maintenance defect ticketing.

3. Customer Data & Machine Telemetry Ownership

As between VendyPal and Customer, Customer owns all right, title, and interest in and to all data provided by Customer or generated through Customer's vending machines (including machine location coordinates, pricing schedules, sales volume, cash collection logs, and DEX streams). VendyPal will not sell or share Customer telemetry with third parties.

4. User Accounts & Operational Safety

Customer is responsible for safeguarding login credentials for administrators, warehouse staff, and field drivers.

DRIVER SAFETY: Field drivers must never interact with the mobile application while operating a motor vehicle. Mobile routing and dispatch features are intended for use when the vehicle is safely parked at a service stop.

5. Third-Party Hardware & Cellular Telemetry

VendyPal interfaces with third-party card readers and cellular modems (including Nayax, Cantaloupe, and Crane). VendyPal is not liable for data delays caused by cellular network outages, firmware bugs on physical card readers, or power interruptions at facility host locations.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall VendyPal be liable for any indirect, punitive, incidental, special, or consequential damages resulting from loss of profits, inventory shrinkage, equipment damage, or business interruption.
